Terms of Use

These Terms of Use ("Terms") govern your access to and use of the Smillin website, newsletter, emails, and related services (collectively, the "Service"), operated by Smillin Healthcare Tech ("Smillin," "we," "us"). By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Ownership & Copyright

All content published on or distributed through the Service — including the daily newsletter, articles, summaries, headlines, illustrations, images, logos, layouts, design system, source code, and compilations thereof (the "Content") — is © 2026 Smillin Healthcare Tech, all rights reserved. The Content is protected by United States and international copyright, trademark, and database-rights laws.

2. Limited Personal License

Subject to these Terms, Smillin grants you a personal, revocable, non-exclusive, non-transferable, non-sublicensable license to access and read the Content for your own non-commercial use. No other rights are granted, expressly or by implication.

3. Prohibited Uses

You agree NOT to, and not to permit any third party or automated agent to:

Scrape, crawl, harvest, or mine the Service or Content using any bot, spider, scraper, headless browser, large language model, AI training pipeline, or other automated means, except for compliant search-engine crawlers obeying our robots.txt.
Reproduce, copy, mirror, republish, or repost the Content (in whole or in substantial part), including reposting issues or summaries to other newsletters, websites, social platforms, Slack/Discord communities, internal wikis, or PDFs.
Redistribute, resell, sublicense, rent, or lease the Content or access to the Service.
Train, fine-tune, or evaluate any machine-learning model, embedding, or dataset on the Content without our prior written permission.
Remove, obscure, or alter any copyright, trademark, byline, or attribution notice.
Frame, deep-link, or in-line embed the Service in a manner that misrepresents its source or removes Smillin's branding.
Circumvent, disable, or interfere with any technical limitation, rate limit, paywall, or access control.
Use the Service to transmit malware, conduct security probes, or otherwise impair the Service's operation.

4. Permitted Sharing & Fair Use

You may share a single headline plus a link to the original Smillin URL on social media or in personal correspondence. Brief quotation for the purposes of news reporting, commentary, criticism, or academic research is permitted under U.S. fair-use doctrine provided you (a) attribute Smillin clearly, (b) link back to the source page, and (c) do not reproduce a substantial portion of any single issue. All other uses require a written license.

5. AI & Machine-Learning Restrictions

Smillin expressly reserves all rights in the Content for the purposes of text and data mining under applicable law (including Article 4(3) of EU Directive 2019/790). The Content may not be used as input, training data, retrieval-augmented-generation corpus, or evaluation data for any AI system without our prior written consent.

6. Licensing & Reprints

For syndication, reprint, internal distribution, or AI-training licenses, contact hello@smillin.tech. We respond to reasonable commercial requests.

7. Subscriptions & Accounts

Email subscribers must provide accurate information and may unsubscribe at any time via the link in any issue. You are responsible for activity under your account or email address. We may suspend or terminate access for any violation of these Terms.

8. No Medical Advice

The Content is provided for informational purposes only and is not medical, clinical, legal, financial, or investment advice. Nothing in the Service creates a clinician-patient relationship. Always exercise independent professional judgment.

9. Third-Party Content & Links

The Service references and links to third-party sources. Smillin does not endorse and is not responsible for third-party content. Trademarks referenced belong to their respective owners.

10. Enforcement & Remedies

Violation of Sections 3 or 5 is a material breach of these Terms and an infringement of Smillin's intellectual-property rights. Smillin may pursue injunctive relief, statutory and actual damages, attorneys' fees, and recovery of profits attributable to the violation, and may report violations to hosting providers, app stores, and search engines. We may also block IPs, revoke API access, and terminate subscriptions without notice.

11. DMCA

To report infringement of Smillin Content, send a DMCA notice to dmca@smillin.tech with the elements required by 17 U.S.C. § 512(c)(3).

12. Disclaimers

THE SERVICE AND CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. SMILLIN DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SMILLIN SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS OR REVENUES, ARISING OUT OF OR RELATING TO THE SERVICE. SMILLIN'S AGGREGATE LIABILITY SHALL NOT EXCEED USD $100.

14. Governing Law & Venue

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws principles. Exclusive venue for any dispute lies in the state and federal courts located in Delaware, and you consent to personal jurisdiction there.

15. Changes

We may update these Terms from time to time. Material changes will be noted by updating the "Effective" date above. Continued use of the Service after changes constitutes acceptance.
